MODIFICATION OF AGREEMENT This modification of agreement ( " Modification ") made as of December between the Village of Croton -on- Hudson, ( the " Village "), a New York municipal corporation with offices at One Van Wyck Street, Croton - on- Hudson, New York 10520, and Hudson River Kayak Outfitters LLC, d/b /a Hudson River Recreation LLC ( "HRR "), a New York Limited Liability Company having its principal address at P. O. Box 619, Croton -on- Hudson, New York 10520. WITNESSETH WHEREAS, the Village and HRR entered into an Agreement dated March 16, 2021 ( the Agreement ") to have HRR continue to provide such recreational programs and services to its residents and visitors pursuant to the Village of Croton Kayak Program Operational Plan incorporated therein and attached thereto as Exhibit A; and WHEREAS, the Agreement provided an Initial Term extending to midnight on December 1, 2021, and further provided for one ( 1) additional three year term upon request of HRR and approval of the Village Board of Trustees; and WHEREAS, in connection with the exercise of the renewal option the parties have agreed to amend paragraph 6 of the Agreement in relation to the Storage Area Fee. NOW, THEREFORE, in consideration of the mutual covenants set forth below, and for other good and valuable consideration, the sufficiency and the receipt hereof are hereby acknowledged, the parties hereby agree as follows: 1. The parties hereby agree to extend the term for the Renewal Term as set forth in the Agreement to expire at midnight on December 1, 2024, subject to the modification set forth herein. 2. Paragraph 6 of the Agreement is hereby modified to provide that HRR shall pay to the Village by June I" of each year a Storage Area fee as follows: a. The amount of $1265 on June 1, 2022; b. The amount of $1391 on June 1, 2023; and C. The amount of $1531 on June 1, 2024. 3. All other provisions ofthe Agreement not modified hereby shall remain in full force and effect.
