AMENDMENT OF MEMORANDUM OF UNDERSTANDING BETWEEN THE CROTON BUSINESS COUNCIL AND THE VILLAGE OF CROTON-ON-HUDSON FOR OKTOBERFEST 2023 This AMENDMENT dated____________________________, 2023 between the Croton Business Council, with offices at P.O. Box 271, Croton-on-Hudson, New York 10520, and the Village of Croton-on-Hudson, a New York municipal corporation with offices at 1 Van Wyck Street, Croton-on-Hudson, New York 10520 ("Village"). WHEREAS, the Croton Business Council and the Village are partners to an agreement dated July 25, 2023 (“the Agreement”), regarding the "Oktoberfest" festival, an event which expects to have attendance of three thousand (3,000) attendees, on a Village street, specifically Grand Street between Old Post Road S. and Mt. Airy Road; and WHEREAS, the festival, originally scheduled for October 7, 2023, was cancelled due to inclement weather, WHEREAS, the two parties wish to agree upon additional rain dates for the festival, as well as memorialize additional costs related to the festival potentially taking place on a Sunday, NOW, THEREFORE, the Agreement is hereby amended as follows: 1. Section One of the Agreement is hereby amended to include October 15, October 21, and October 22, 2023, as additional rain dates for the Event. 2. Section Two of the Agreement is hereby amended to include the following language: “Should the Event take place on the rain date of October 15, 2023, or October 22, 2023, an additional cost of $2,136.67 will be incurred. The total costs due to the Village for all fees, if the Event takes place on October 15, 2023, or October 22, 2023, is $13,533.70. 3. Except as set forth herein, the Agreement shall remain in full force and effect in accordance with its terms.
