On motion of TRUSTEE____________, seconded by TRUSTEE _______, the
following resolution was adopted by the Board of Trustees of the Village of
Croton-on-Hudson, New York:
Resolution #132-2022
WHEREAS, on July 22, 2019, the Village of Croton-on-Hudson Board of Trustees
approved a 25-year lease agreement with Ecogy Energy of Brooklyn, New York,
for the roof of the DPW Garage located at 435 Yorktown Road to be used for
community solar purposes; and
WHEREAS, Ecogy Energy has advised the Village that it wishes to exercise its
option under the lease to assign a security interest in the project to National
Cooperative Bank (“the Lender”); and
WHEREAS, a consent agreement has been drafted to memorialize this action,
NOW THEREFORE BE IT RESOLVED: that the Village Board hereby authorizes
the Village Manager to sign the consent agreement with Ecogy Energy and the
Lender; and
BE IT FURTHER RESOLVED: that this agreement is subject to the final approval
of the Village Attorney.
