New Business Subject 2.4 Letter of Intent with Honeywell International Inc. for the evaluation and potential development of an Energy Performance Contract (EPC) Type Action Recommended Action RESOLVED: That the Board of Education hereby approves the Letter of Intent with Honeywell International Inc. as presented. RESOLUTION TO APPROVE LETTER OF INTENT (LOI) WITH HONEYWELL INTERNATIONAL INC. WHEREAS, the Croton-Harmon Union Free School District ("District") seeks to improve energy efficiency, reduce operational costs, and upgrade facility infrastructure through an Energy Performance Contract (EPC) in accordance with New York State Education Department (NYSED) regulations; and WHEREAS, Honeywell International Inc. has been identified as the partner to develop a final energy performance contract, detailing facility improvement measures and a guaranteed level of cost avoidance over a term of eighteen (18) years; and WHEREAS, the District and Honeywell International Inc. desire to enter into a Letter of Intent (LOI) to formalize the development phase of this project, including detailed calculations, design, and installation costs; and WHEREAS, the Board of Education seeks to authorize Honeywell to develop the final energy performance contract, including all required technical specifications and savings projections; and WHEREAS, the Board’s approval is subject to the express condition that the District shall have no obligation to pay any sums to Honeywell for its services unless and until the final energy performance contract is approved by the New York State Commissioner of Education, State Building Aid is approved at a mutually agreed ratio to ensure no net cost to the District, and all required NYSED permits are issued; NOW, THEREFORE, BE IT RESOLVED THAT, the Board of Education hereby approves the Letter of Intent between the Croton-Harmon UFSD and Honeywell International Inc. for a term of three (3) months, effective from the date of execution. Motion & Voting RESOLVED: That the Board of Education hereby approves the Letter of Intent with Honeywell International Inc. as presented. Motion by Neal Haber, second by Allison Samuels.
