AMENDMENT Agreement with Mid-Hudson EMS District for the Provision of Emergency Medical Technicians to supplement Croton EMS of the Village of Croton-on-Hudson EMS This Amendment (the "Amendment") entered into this ______ day of January, 2025, by and between the Village of Croton-on-Hudson, a New York municipal corporation with offices at 1 Van Wyck Street, Croton-on-Hudson, New York 10520 (the "Village") and the Mid-Hudson Ambulance District, a municipal corporation, with headquarters at c/o Town of Ossining, 16 Croton Avenue, Ossining, NY 10562 (the "Contractor"). WHEREAS, the Village and Contractor (collectively, the “Parties”) entered into an Agreement dated June 11, 2024 (the “Agreement”) for Contractor, through the Ossining Volunteer Ambulance Corps., Inc. (the “Service Provider”), to provide the Village’s Emergency Medical Services (“Croton EMS”) with one emergency medical technician (“EMT”) 24 hours per day, seven days per week from June 1, 2024 to May 31, 2025 at a cost of $43.79/hour with the monthly payments to be made by the Village in advance of the month the services are provided as set forth in Attachment 1 to the Agreement; and WHEREAS, the Village has requested that commencing on Monday, January 13, 2025 through the end of the term of the Agreement on May 31, 2025 that the Contractor, through the Service Provider, provide Croton EMS with a second EMT between the hours of 6:00 a.m. and 6:00 p.m., Monday through Friday (“Additional EMT Services”); and WHEREAS, the Contractor wishes to provide the Additional EMT Services requested by the Village subject to the terms and conditions set forth herein; and WHEREAS, pursuant to Section IX(C) of the Agreement, “[i]n the event during the term of this Agreement the Village requests, and the Contractor agrees, to extend the scope of services provided in this Agreement as set forth in Section III(B), those additional services shall also be billed at 1.5 times the hourly rate then in effect;” and NOW THEREFORE, the Parties agree to amend the Agreement as follows: 1. Notwithstanding Section IX(C) of the Agreement, the Contractor and Service Provider will provide the Additional EMT Services at the current rate of $43.79/hour. The fact that Contractor and Service Provider are willing to provide this courtesy to the Village for the Additional EMT Services does not preclude the Contractor and Service Provider from strictly enforcing Section IX of the Agreement should other circumstances arise prior to the end of the term of the Agreement. The Contractor and Service Provider will provide 60-day notice of their intent to terminate the $43.79/hour amount agreed to in this Amendment. Upon such notice, the Village has the right to cancel this Amendment for Additional EMT Services or otherwise reduce the number of hours sought at the increased rate. 2. Concurrent with the Village’s execution of this Amendment, the Village shall provide Contractor with payment of $7,882.20 representing the Additional EMT Services for January 13 through January 31, 2025. 3. The new monthly charges for the services contemplated in the Agreement and this Amendment, to be paid in advance of the month the services will be performed, is set forth in Attachment 2 hereto. 4. To the extent not expressly modified herein, the Agreement shall remain in full force and effect. Should there be any conflict between the Agreement and this Amendment, beyond that specifically addressed in the paragraph 1 above, this Amendment shall control. 5. All signatories to this Amendment on behalf of the respective Parties and Service Provider hereby aver that they are duly authorized to do so.
