1 This FIRST AMENDMENT TO THE LICENSE AGREEMENT (the “First Amendment”) made this _____day of _______________, 2026, by and between: THE VILLAGE OF CROTON-ON-HUDSON, a municipal corporation of the State of New York, having its office at 1 Van Wyck Street, Croton-on-Hudson, New York 10520 (the “Licensor” or “Village”), and THE COUNTY OF WESTCHESTER, a municipal corporation of the State of New York having an office at 148 Martine Avenue, White Plains, New York 10601 (the “Licensee” or “County”). WHEREAS, the County and Village entered into a license agreement, dated September 30, 2025, (the “Agreement”) pursuant to which the County, at its sole cost and expense, was granted permission to change the electrical service over the Village Parcels to the County Parcel, for a term of one (1) year, which term commenced on September 30, 2025, and the parties agreed could be extended by mutual agreement of the parties, subject to receiving all necessary legal approvals; and WHEREAS, the County has requested to extend the term for an additional three (3) months from September 30, 2026 to December 31, 2026 to give it additional time to finalize, have executed by the parties and file the survey map, Easement Agreement and recording documents; and WHEREAS, the Village is amenable to the County’s request. NOW, THEREFORE, the parties hereto in consideration of the terms and conditions herein contained do agree as follows: 1. Section 7 of the Agreement is hereby deleted in its entirety and the following sentence inserted in its place and stead: Term. The Parties agree that the term of this License Agreement shall commence upon September 30, 2025 and continue through December 31, 2026, unless sooner terminated as provided for herein and may be extended upon mutual agreement of the Parties subject to receiving all necessary legal approvals. 2 2. Except as otherwise expressly provided for herein, all other terms and conditions of the Agreement remain unchanged and in full force and effect. 3. This First Amendment shall not be enforceable until signed by both parties and approved as to form and manner of execution by the office of the County Attorney. [Intentionally Omitted.
