INTRODUCTION- This Agreement is made, by and between, Management Advisory Group Business Operations, Inc., a duly organized New York corporation whose principal offices are at 4383 Route 23, Suite 102, Cairo, New York, hereinafter referred to as "MAGBO", and the Croton-Harmon Union Free School District whose principal offices are at 10 Gerstein Street, Croton-on-Hudson, NY 10520, hereinafter referred to as "District". 2. TERM -The term of this Agreement shall commence and be effective as of July 1, 2026, through June 30, 2027. 3. DESCRIPTION OF SERVICES - MAGBO is a provider of educational and administrative services to school districts throughout New York State. During the term of this Agreement, MAGBO will provide the following services and perform the following operations for the District: A. MAGBO shall have access to, and research the District records necessary for the preparation, ‘submission, and collection of current fiscal year and future services rendered to students with disabilities in the District. B. MAGBO shall review District forms to ensure they meet current. Medicaid regulations and recommend changes if applicable. C. MAGBO shall provide Sharefile — an encrypted, secure internet based platform — to the district for transmission of all data to MAGBO. D. MAGBO shall provide a complete list of Medicaid eligible students three times annually: one for summer; and two for the 10 month school year. E. MAGBO shall conduct monthly screenings of District providers against the federal exclusion lists. F. MAGBO shall enter providers into the district's IEP program and affiliate NPI numbers with EMedNY. G. MAGBO shall enter information from completed forms and submit for reimbursement services that meet all requirements. H. If District providers do not enter their session notes into the district's IEP program, MAGBO will enter them based upon the paper session notes. I. MAGBO shall provide a Consultant(s) once per year to confer with the District personnel; either on-site or virtual, based on mutual agreement between Consultant and District, and following state and local health department guidelines. Any requests for training employees or providers will be billed in addition to the standard contract price, on an hourly basis. J. MAGBO shall keep confidential all student and staff information and any and all passwords, usernames and other information acquired in connection with the performance of this contract unless required by law to be disclosed. 4, RESPONSIBILITY OF THE SCHOOL DISTRICT- The District agrees to the following: A. Provide the necessary information and document copies as required for the delivery of service. i. Usernames and passwords to student JEP software; and the Medicaid database contained therein, per each MAG employee assigned to District; the username must have full administrative privileges; ii. Authorize access to ePACES website; iii, FTM access iv. Federal EIN number to facilitate full access to EMedNY; v. Copies of parental consents, prescriptions, transportation logs, session notes; UDO Observation forms; vi. Copies of Federal Grants (ie 611 and 619 IDEA) vii. Ifthe District utilizes MAG for STAC Services, for audit and privacy purposes, the User IDs for the IEP software should be different than the one used for STACs; viii. Other documentation as requested. B. If the District utilizes Frontline, the Medicaid Direct component must be active. C. Transmit copies of all required documents as noted above to MAGBO on a regular basis. i. Original documents must be retained by the District. ii. Use Sharefile for secure data transmission. D. Apply for access to ePACES, if not already enrolled, and set up MAGBO contacts with administrative access. E. Provide monthly, lists of newly classified students, to MAGBO for the purpose of determining whether the students are Medicaid eligible. F. Provide clerical services as. needed for collection and transmission of data to/from MAGBO. 4383 Route 23, Suite 102, Cairo, New York 12413 2 Www.Magnyinc.com G. Keep student services up to date in the IEP program. Claims may only be processed for services provided between the start and end dates on the IEP. H. Complete and submit the annual SSHSP Cost Report. All aspects of _the Medicaid Cost Reporting and Random Moment Time Study are the responsibility of the District. I. Ensure a Medicaid Compliance Program is in place, in accordance with NYS and Federal rules and regulations, and recertify annually, if applicable. 5. COMPENSATION- The District shall pay MAGBO compensation as follows: A. $6,338 annually, payable in monthly installments of $528.17. a. Training will be billed at $150 per hour b. Terms are Net 30. B. If the District requests more than one on-site visit per year, MAGBO will be provided reimbursement for all reasonable travel expenses including mileage costs and lodging. C. This compensation may be modified as agreed to from time to time by prior written amendment of this Agreement signed by both parties. 6. INSURANCE - MAGBO shall pay-for and maintain in force Workers Compensation insurance as required by New York State law and Comprehensive General Liability insurance coverage reasonably acceptable to the District with the limits.of liability in the amount of $1,000,000 for each occurrence, with a per annum aggregate limitation of no less than $2,000,000, Upon request, MAGBO shall provide the District with written evidence that such coverage is in full force and effect. MAGBO shall provide written notification to the District of the cancellation or expiration of any insurance required by this Agreement within five (5) business days of the date MAGBO is first aware of the cancellation or expiration, or is first aware that the cancellation or expiration is threatened or otherwise may occur, whichever comes first. ; 7. NON DISCRIMINATION CLAUSE- MAGBO agrees that neither it nor any of its subcontractors shall violate any federal or New York State laws regarding discrimination in employment. 8. TERMINATION OF AGREEMENT BY NOTICE- Either party may terminate this Agreement without cause upon 60 days' advance written notice. If this Agreement is terminated by either party, the District shall be under no further obligation to MAGBO other than payment for services actually provided prior to termination and in no event shall the District be responsible for any actual, consequential, or other damages as a result of termination. INVALIDITY- If any provision of this Agreement or its application is held to be invalid, illegal, or unenforceable in any respect, the validity, legality, or enforceability of any of the other provisions and applications herein shall not be affected or impaired. 10. PROTECTION OF CONFIDENTIAL DATA - At all times during the Term of this Agreement, with respect to all services provided by MAGBO, MAGBO shall comply with any and all local, state, and federal rules, regulations, and laws pertaining to the confidentiality of medical, personal, and other information, including but not limited to: the Health Insurance Portability and Accountability Act of 1996 (HIPAA), the Health Information Technology for Economics and Clinical Health Act of 2009 (HITECH), and the regulations promulgated thereunder; and as set forth in this Agreement. MAGBO shall treat all matters and information related to the District’s students as confidential information belonging solely to the District, to be utilized by MAGBO solely for the purposes of this Agreement or as instructed by the District. MAGBO shall provide its services under this Agreement in a manner which protects Student Data (as defined by 8 NYCRR §121.1(q)) and Teacher or Principal Data (as defined by 8 NYCRR §121.1(r)) (hereinafter “Confidential Data”) in accordance with the requirements articulated under Federal, State and local laws and regulations, including but not limited to.the following: A. MAGBO will adopt technologies, safeguards and practices that align with the NIST Cybersecurity Framework. B. MAGBO will comply with the School District Data Security and Privacy Policy, Education Law §2-d, and 8 NYCRR §121. C. MAGBO will limit internal access to personally identifiable information to only those employees or subcontractors that need access to provide the contracted services. D. MAGBO will not use the personally identifiable information for any purpose not explicitly authorized in this Agreement. E. MAGBO will not disclose any personally identifiable information to any other party without the prior written consent of the parent or eligible student, unless otherwise authorized pursuant to applicable law. F. MAGBO will maintain reasonable administrative, technical, and physical safeguards to protect the security, confidentiality, and integrity of personally identifiable information in its custody. G, MAGBO will use encryption to protect personally identifiable information in its custody while in motion or at rest. H. MAGBO will not sell personally identifiable information nor use or disclose it for any marketing or commercial purpose or facilitate its use : 4383 Route 23, Suite 102, Cairo, New York 12413 4 www.magnyinc.com or disclosure by any other party for any marketing or commercial purpose or permit another party to do so. I. Inthe event MAGBO engages a subcontractor to perform its contractual obligations, the data protection obligations imposed on MAGBO shall apply to the subcontractor. . To the extent such requirements related to the data security and privacy of student and/or teacher and/or principal data, as defined by New York State Law, conflict with the MAGBO’s Privacy Policy or other policies or procédures related to data security and privacy, the requirements of this Agreement shall control. 11. DATA BREACH - In the event that Confidential Data is accessed or obtained by an unauthorized individual, MAGBO shall provide notification to the District without unreasonable delay and not more than seven (7) calendar days after the discovery of such breach. MAGBO shall follow the following process: . A. The security breach notification shall be titled “Notice of Data Breach”, shall be clear, concise, use language that is plain and easy to understand, and to the extent available, shall include:.a brief description of the breach or unauthorized release; the dates of the incident and the date of discovery;-a description of the types of Confidential Data affected; an estimate of the number of records affected; a brief description of MAGBO’s investigation or plan to investigate; and contact information for representatives who can assist the District with additional questions. B. Where a breach or unauthorized release of Confidential Data is attributed to MAGBO and/or a subcontractor or affiliate of MAGBO, MAGBO shall pay for or promptly reimburse the School District for the cost of notification to parents and eligible students of the breach. ‘C. MAGBO shall cooperate with the District and law enforcement to protect the integrity of investigations into the breach or unauthorized release of Confidential Data. 12, MISCELLANEOUS A. MAGBO shall indemnify, defend, and hold harmless the District, its officers, employees and authorized agents from any and all claims, damages; liability, and expenses (including without limitation reasonable attorneys’ fees) arising with respect to MAGBO’s performance under this Agreement; and any breach by MAGBO of a warranty or representation made in this Agreement. B. The District shall indemnify and hold MAGBO harmless from any injury, damage or claims that may arise as a result of the District’s breach of this Agreement. 4383 Route 23, Suite 102, Cairo, New York 12413 5 www.magnyinc.com C. This Agreement shall be subject to and governed by the laws of the State of New York, without giving effect to provisions or procedures regarding conflicts of laws. All actions commenced under the provisions of this Agreement shall be venued exclusively in the New York State Supreme Court with jurisdiction in the County where the District is located. D. MAGBO, its employees, and representatives shall at all times comply with all applicable United States Federal, New York State and local laws, rules, and regulations. E. MAGBO is engaged as an independent contractor for all purposes. MAGBO shall be solely responsible for payment of any and all taxes related to any payment under this Agreement. MAGBO and its employees will not be eligible for any benefits relative to this Agreement for social security, New York State Worker's Compensation, unemployment insurance, New York State Employees/Teachers Retirement Systems, or any other withholdings or benefits. 13. NON-APPROPRIATION - Should funds become unavailable or should appropriate governing bodies fail to approve sufficient funds for completion of the services or programs set forth in this Agreement, the District shall have the option to immediately terminate this Agreement by providing written notice to MAGBO. In such event, the District shall be under no further obligation to MAGBO other than payment for services actually provided prior to termination and in no event shall the District be responsible for any actual, consequential, or other damages as a result of termination. MAGBO will also no longer be under any obligation to the district from the date of termination notice. 14, ADDENDUM - This Agreement and Addendum A constitute the entire Agreement between MAGBO and the District and supersede all prior Agreements between the parties for the services listed herein. The following is attached hereto and hereby incorporated in this Agreement by reference as if fully set forth herein: Addendum A. Parents’ Bill of Rights for Data Security and Privacy IN WITNESS WHEREOF, the Parties have signed this Agreement intending to be legally bound.
