On behalf of Capital Markets Advisors, LLC (“CMA”), I am pleased to present our proposal to
serve as Financial Advisor for the Croton-Harmon Union Free School District (the “District”). This
is a role that CMA has successfully served in and enjoyed for many years.
CMA possesses the experience, resources and manpower to provide all of the services required
by your District. We have provided the same scope of services for 150+ school districts across
New York State for over 24 years including two dozen in Westchester County. Eleven of CMA’s
professional staff members have been licensed by the Municipal Securities Rulemaking Board as
Series 50 Municipal Advisor Representatives and two are also licensed Municipal Principals. In
2025, CMA advised over 200 different public jurisdictions on over 300 financings. This level of
market activity inures to the benefit of our clients as we are very active players in the market
interacting with investors and credit rating agencies on a daily basis. CMA is also the leader
among all other financial advisors in New York State to identify and successfully close on money-
saving bond refinancings. CMA introduced the technique of competitively-sold refunding bonds in
New York in 2002 and have done hundreds of transactions since that time saving our clients
hundreds of millions of dollars. Finally, we are industry leaders in the area of lease financings
and State Aid Services. Our credit rating experience and expertise are without peer in the
industry. The training and experience of CMA personnel is second to none. Seven members of
our staff are former bankers, and I am the only former Bond Counsel serving as a Financial
Advisor to local school districts in New York State. I will serve as the point of contact for this RFP.

i. Experience and Expertise Capital Markets Advisors, LLC (“CMA”) is an independent,
financial advisor headquartered on Long Island with a second office in Buffalo. For over 24 years,
CMA has provided its clients with unbiased, independent financial advice in connection with the
planning and financing of their capital and cash flow needs. We are not a bank or a broker-dealer
nor are we affiliated with any type of financial institution, yet we possess, in house, the expertise
and experience working with school districts in New York State that complements the state’s best
law firms, investment banks and credit rating agencies. Over the past five years, CMA has advised
over 300 different school districts and municipalities as they planned, authorized, structured,
marketed, sold and closed on over 1,400 note, bond and lease financings totaling over $15 billion
to fund their capital projects and cash flow needs. During this time, we also served as the
Dissemination Agent to over 200 school districts and municipalities assisting them to comply with
their Continuing Disclosure Obligation under SEC Rule 15c 2-12. CMA’s Strategic Consulting
Group, created in 2016, advises both our school district clients and our 200+ municipal clients
(counties, cities, towns and villages) on ways to streamline and improve their day-to-day
operations. Our work in this area has included developing multi-year financial plans, advising on
budgets, preparing compensation studies and fleet analysis, and drafting policies and procedures
on a wide variety of topics including fund balances, debt management and investments. These
strategic work products are held in high regard by the credit rating agencies. Our State Aid
Group works closely with our school district clients, starting in the earliest stages of a capital
financing, to ensure that the client maximizes and properly times its receipt of State building aid.
Our highly-regarded Debt and Aid Model provides a detailed roadmap of the steps necessary to
receive building aid on time to minimize the impact of debt service on a school district’s residents.

No financial advisor in New York State offers its clients a team of professionals with more
education, training, experience and expertise than can be found at CMA. Following are
resumes and qualifications for the key members of the District’s CMA team.
Richard Tortora, Esq.
President and Principal________________________________________________________
Richard manages the firm’s Great Neck headquarters and is responsible for providing financial
advisory services to numerous school districts, municipalities and agencies throughout the State
of New York. As a former bond attorney, he has had extensive experience drafting bond
resolutions, ordinances, indentures and district proceedings. In his 40-year career in public
finance, he has been involved in bond, note and lease financings totaling over $100 billion.
Richard routinely speaks at industry conferences on a variety of public finance topics and has
addressed Association of School Business Officials (“ASBO”), NYS Government Finance Officers
Association (“GFOA”) and NYS Association of CPAs. He has also taught at “Bond School” in
New York City to individuals new to the public finance industry. Prior to co-founding CMA in 2002,
Richard was a financial advisor and banker with The Bank of New York, Bond Counsel with the
law firm of Hawkins, Delafield & Wood and in-house counsel at Cantor Fitzgerald Securities Corp.
Richard holds a law degree from St. John’s University School of Law and a B.A. degree from
Fordham University in Political Science with a concentration in Public Administration. He is a
former board member of the New York State GFOA and is an active member of New York State
ASBO and the National Association of Municipal Advisors (“NAMA”). Richard has been licensed

Rick is Executive Vice President and Principal of Capital Markets Advisors, LLC. He oversees
the firm’s Western New York office and serves as lead financial advisor to many of the firm’s
largest clients including the cities of Buffalo and Rochester the counties of Monroe and Niagara,
Buffalo and Fort Erie Public Bridge MCC, the Erie County Water MCC, Niagara Falls Water MCC,
Buffalo Water Municipal MCC and over 70 villages, towns, and school districts. Over the course
of his career at CMA, Rick has been involved in the issuance of over 1,700 bond, note and lease
financings with a total par of over $24 billion. Prior to joining CMA, Rick was a banking officer in
the treasury division of a large regional bank. While at CMA, he has developed specialized
expertise advising school districts in the area of State aid.
Rick completed his undergraduate work at Hobart College in Geneva, New York where he
received a B.A. degree in economics and later received his master’s degree in economics from
the University of Buffalo. He is a Board member of the New York State GFOA and a member of
the GFOA Banking and Investment Management Committee and has presented to association
members on “Best Practices in Debt Management” and Investment of Public Funds by Local
Governments in New York State”. Rick has been licensed by the Municipal Securities Rulemaking
Board (“MSRB”) as a Registered Principal and a Registered Municipal Advisor Representative.

Diana Castañeda, M.A.

Diana is one of CMA’s two, in-house credit experts. She joined CMA with a 20-year background
in public finance in New York State. Diana started her career at Moody’s Investors Service where
she worked for 6 years as a credit analyst. She next moved to Assured Guaranty, the nation’s
largest municipal bond insurer where she worked for two years. Prior to joining CMA, she was a
Vice President at The Bank of New York where she worked in the Public Finance, Capital Markets
and Derivatives Groups.
Diana is an active member of the NYS ASBO, GFOA and MAGNY. She completed her
undergraduate work at the University of Massachusetts at Amherst and obtained a master’s
degree from NYU. She is a licensed Series 50 Municipal Advisor Representative. She works in

Tom Vouzakis

Tom is the day-to-day lead contact for many of CMA’s clients in Westchester County. He has
expertise in preparing debt schedules and financial models and provides analysis to support multi-
year financial plans. His client assignments have included, to date, towns of Ramapo, and
Eastchester and city of New Richelle, village of Scarsdale and schools in Croton-Harmon and
Haldane.
Tom has a B.S. degree in Finance from NYU’s Stern School of Business. He interned for CMA
during the summers of 2010, 2011 and 2012 before joining the firm full time as an analyst in 2014.

iii. Experience with Credit Rating Agencies
CMA maintains close and frequent ties with each of the three major rating agencies: Moody’s
Investors Service, Inc., S & P Global and Fitch Ratings, Inc. Over the past 5 years alone, the CMA
team acted as advisor for over 1,400 bond and note issues, securing credit ratings for most of the
bond issues and many of the larger note issues. This large volume of financings gives us the
necessary insight to help our clients present the best and most complete information for the

agencies’ consideration and gives the CMA team a familiarity with the rating agencies, their
relative perspective, and their personnel. We are able to anticipate rating agency questions and
concerns, and we actively prepare our clients to address those issues, if and when they arise.
CMA Vice President Diana Castañeda, was a credit analyst at Moody’s for 6 years before
joining CMA in 2019.
The CMA approach with the rating agencies is simple: straightforward and proactive. We
encourage clients to initiate a dialogue with the rating agencies, outside of a bond or note sale
process. CMA makes certain that the rating agencies are aware of new developments as they
arise. We provide financial updates on a regular basis and have hosted rating presentations in
our offices as well as at client locations, as necessary. We believe strongly in the use of rating
agency presentation booklets to present statistical information–including economic and
demographic data–to illustrate trends in financial performance, debt levels, and assessed
valuations, among others. We often host rating presentations at our Great Neck headquarters as
well as at the clients’ office when we believe a site visit may be helpful to secure the highest rating.
CMA has had great success with the credit rating agencies over the past decade. During that
time, we have assisted the following jurisdictions get upgraded to the Aaa level, the highest
available rating category: towns of Babylon, East Hampton, Islip and North Hempstead, Hewlett-
Woodmere Schools and Garden City Schools. In fact, CMA has represented most of the
approximately two dozen, triple-A rated jurisdictions in New York State.
As further evidence of our strong relationship with Moody’s Investors Service, we note that twice
in 2016 and again in 2018, CMA President Richard Tortora was invited by Moody’s Investors
Service to make presentations to its staff from around the country on The Role of an Independent
Financial Advisor and Interactions Between Clients and the Rating Agencies. The rating agencies
respect CMA’s honest and proactive approach in our dealings with them on behalf of our clients.
Maintaining good relations with CMA is in their best interest as well as our own and our clients’.

vi. Keeping Clients Informed of Changing Market Conditions
Monthly Newsletter CMA writes and circulates a monthly newsletter, CMA’s Capital Markets
News, to help keep its clients abreast of the latest developments in public finance that could affect
them. In addition to providing one or two articles on industry-related topics of interest, each

newsletter provides a select listing of sales results for CMA clients from the prior month, as well
as interest rates as of the first business day of the month, rates from one month earlier and rates
from 12 months earlier. Interest rate scales are provided for Aaa, Aa, A and Baa-rated credits.
Special Bulletins As necessitated by significant market developments, CMA writes and
circulates Special Bulletins, to quickly and timely alert our clients to events that they need to know
about that could affect their cost of capital and market access. In the past, bulletin topics have
included looming deadlines for ARPA filings, bank failures and changes in DTC policies.
Bonds 101 CMA regularly conducts Bonds 101 presentations (for no charge) for its clients at
their offices or ours during which CMA professionals discuss a variety of topics including the roles
of market participants, the credit rating process, credit enhancement, lease financing, interest rate
trends and other related topics. We believe our clients should be knowledgeable about market
conditions and evolving trends since they are viewed as experts by members of their community.
v. In-House Quantitative Capabilities
In-house quantitative abilities are essential for a financial advisory firm if it is to accurately and
thoroughly analyze proposals submitted by investment bankers on behalf of its clients. CMA is
widely regarded as having the best quantitative skills of all advisors working with school
districts in New York State as evidenced by our innovations and “firsts” (i.e. competitive
refundings, Matched Investments, funding escrows, investing bond proceeds, etc.). We
routinely review banking proposals submitted to our clients in connection with advance refundings
and asset securitization. These proposals also often use sophisticated derivative products such
as interest rate swaps and forward delivery bonds. More than half of CMA’s employees,
including Principals Richard Tortora and Rick Ganci, Managing Director Margaret Guarino,
Senior Vice President Janet Morley and Vice Presidents Diana Castañeda and Tom
Vousakis and Assistant Vice President Madeline Reid are former bankers. No other
advisory firm in New York State can boast such an experienced team. In addition, CMA
President Richard Tortora is the only former Bond Attorney serving as a financial advisor to school
districts in New York State and is well versed in NYS Local Finance Law and the NYS
Comptroller’s regulations. The skills and experiences acquired in these former roles enable CMA
to analyze proposals in greater depth and with more insight than any other advisor. Using Munex

and Excel software, CMA’s professionals have the sophistication to construct complex structuring
models, and verify, in-house, the accuracy and completeness of proposals submitted to our
clients. We are also the leading advisor in New York State to identify and successfully transact
money saving, refunding bond issues and lease refinancing opportunities.
CMA introduced the concept of competitively sold advance refundings for local
municipalities and school districts in New York State in 2002 selling the first competitively-
sold refunding bonds for with East Rockaway Schools. We were able to do this in part
because of our intimate knowledge of the New York State Local Finance Law. Prior to that time,
all refunding bond issues in New York State were sold via negotiation after the issuer hired an
underwriter. For issuers of general obligation debt with high, investment-grade ratings, the
competitive sale of debt will always result in lower interest rates and lower costs of issuance.
Competitively-sold refundings move more quickly than negotiated deals eliminating much market
risk (that rates will rise) since there is no RFP process, no underwriter’s counsel involved and the
review process with the NYS Comptroller is greatly simplified. Since 2002, CMA has advised
over 200 different school districts and municipalities on hundreds of competitively–sold refunding
bond issues. We have received consistent praise from the NYS Comptroller’s office and other
market participants for this groundbreaking innovation. CMA also “dual tracks” the investment of
refunding bond proceeds to capitalize on the opportunity to generate additional savings for our
clients by investing in open market Treasury portfolios rather than State and Local Government
Series (SLuGS). Our creativity routinely saves our clients money.

Litigation CMA is not involved in any pending litigation. On December 26, 2024, CMA
successfully resolved the only regulatory matter in its 24-year history when the SEC dismissed
with prejudice all charges against the firm that related to a revenue anticipation note issued by
the City of Rochester in August 2019. A case that is “dismissed with prejudice” is over and done
with, once and for all, and can't be brought back to court. We were gratified that the SEC
recognized that a full dismissal with prejudice of that claim was the right result. To achieve a full
settlement, we agreed to pay a fine concerning the SEC’s charge that we did not comply with
MSRB Rule G-42 when, like many other Municipal Advisors, we did not affirmatively tell our
clients that every time we agreed to be paid on a contingent basis (for example, upon the closing
of a financing), that such compensation arrangements always create a material conflict of interest
between the firm and the client. We sincerely believed that contingent fee arrangements, which
are very common and perfectly legal, did not automatically create such a conflict. We corrected
our disclosure language are in full compliance with all SEC and MSRB rules and regulations.

PART 2-FEE COST PROPOSAL
A. The District is seeking rates for services above, but not limited to those prescribed in the
scope of work contained in this RFP. Proposed rates are to be all inclusive of clerical support,
paralegal service or partner. There are no additional charges allowed under this contract (i.e.,
